Chad asked me to take a look at this agreement for the City. I have reviewed it and made a few comments. I would actually suggest using one of the City’s standard service agreements, if possible. There are a few provisions missing from this one (reciprocal indemnification, unilateral termination, etc.) that I would like to see and generally a City-draft agreement is better for the City. If you do not have one, I can put one together for the City.

If not, please see my comments and we can work on updating the problematic provisions.
