Draft subrecipient agreement attached. There are a few highlighted blanks to fill in. Please feel free to otherwise modify as you see fit. Note that it contemplates simply attaching the underlying IOF Grant agreement directly to it as an exhibit, as there is quite a bit that is to be incorporated. Rather than regurgitate everything, I hit what I consider to be the highlights, and incorporate the remaining portions by reference.

The ODOT agreement itself is pretty straightforward. I have a short list of tweaks to these agreements I have historically requested over the years, but with little (maybe no) luck because of ODOT inflexibility regarding its template agreements. I reviewed the agreement in that context, and don’t see anything that the City can’t live with.

Take a look at the sub- agreement and let me know if you have any questions or would like to discuss.
